I’ve been involved with more mergers and acquisitions and IPOs than I can even count. I’ve been called many names when I’m getting involved with corporate turnaround consulting but the most common of these terms are: arrogant, cocky and hardheaded. I take these names as a feather in the cap and a notch on the belt because the worst thing that can happen is that a company or board of directors hires a wimp or pushover. Having swagger when walking into a negotiation session or presentation makes all the difference. Refuse to lose and have the contacts to back up your moves.

The people on the receiving end of my firm’s negotiations hate me (until they hire me on their next project). My hate of losing exceeds my love of winning and I’ll never stop until the clients pull me off of the project or until the transaction is done. This mentality is a must for today’s executive and corporate consultant.

I’m not saying this to impress anyone or to get more business. I’m trying to express to new CEOs of public companies and pre public companies that you have to be fierce. When you step in a room everyone has to feel it. Your presence has to be loathed by some and the epitome of curiosity by others. Keep them guessing.

Demonstrate loyalty to your client and make competitors fear being on the receiving end of your attention and above all, be calculated with your moves and stealthy with your strategy. Don’t speak until you can level the room with what you have to say and understand the reality that for every action there will be a reaction and for every strategic move you make on your clients behalf, there will be countermeasures taken by the opposition.

It’s ok to stay up at night distracted by ideas that will press the throttle peddle on behalf of your client. It’s a forgivable sin to force-feed strategies and alliances to your client that will help them get a competitive edge over their competition. And above all remember this, at the end of the day in global commerce the winning side achieves more than domination but the ability to keep and create jobs and grow through acquisition which creates more jobs and profitability. Arrogance and the refusal to lose is the beginning of this entire process. Get it or get out!

How To Take A Company Public – Master Franchise

Many companies have a unique service or product but either lacks the capital or know-how to go public. Going public slams open the doors to massive global capital possibilities and massive partnering and strategic growth capabilities. A financially broke company should never try to go public to raise money to stay afloat as you’ll only attract the fee based predatory consultants who make their money on individual fee oriented services without the ability to bring it all together in a turn-key solution so in the end there is no accountability.

The prototypical company that will succeed in going public is either a profitable and mature company or a start-up with contracts in place for capitalization and patented and/or proprietary technology or systems that give it a massive edge over competitors. You should have a polite yet rigorous interview process with the firm before signing on. The ideal situation for a company going public is to partner with a consulting firm or broker dealer who offers absolutely everything you will need to succeed in the pre-IPO and post-IPO market. Expect to pay a fee for corporate structuring, business plan, private placement memorandum and Direct Public Offering to the firms database of investors (if they do not offer an introduction service to investors you should not take them seriously as a full service consulting firm as they are only offering you a sandwich without the bread).

Sometimes it’s good to just hire a company that is strictly fee based for your ‚going public‘ ambitions but be prepared to pay hefty fees. Corporate strategies and political strategies are similar in many ways and merge in many more as the ultimate goal is recognition for a contribution to economic growth as this is the one power tool that transcends all other contributors to power. The entity recognized for delivering on promises of jobs, capital to a targeted geography or economic certainty is the one that will gain traction regardless of current economic disaster going on around them.

To do this, to be the person that gains a following for their ability to step into a position of power and swim in shallow shark infested waters one must consider the fact that you will be attacked from all angles and your ability to eliminate the factors that are conducive to facilitating these attacks is crucial but do to so and make a massive statement is where the natural genius comes into play. This third party should be completely none affiliated with you or your company and the information should be issued to them by a non affiliated messenger.

Find out where they sensitive points on the ‚mark‘ reside. Is it voting record? Pump and Dump schemes with other public companies? Is it a politician without a pedigree making them a lap dog to the established politicians who just use them as a vote? Who are they taking campaign money from? Who has the CEO elected as CFO or CFO and is there a blatant demonstration of misjudgment etc.?

The obligatory power grab is like offering an ice cold bottle of water to a group of 100 lost trekkers in the desert, they will use every advantage and fight as dirty as they have to in order to achieve ownership of this prized item.

Don’t bring a slinky to a fist fight, bring a steel pipe, don’t go to war with paper planes and silly putty, use remote controlled drones that will be able to inflict massive damage from afar. These alliances must be solidified by contracts spelling out what each party will contribute to the relationship.

Leave nothing to chance, unless they are willing to sign a contract with you, it’s not a relationship that can be taken seriously and will only convert into negative baggage that will haunt you down the road. Now with all this in place, you’re ready to put together a business plan.
